  • Template marketplace and asset library access
  • Design agent assistance and automation
  • API access for enterprise users

6. Credits and Payment

Our Service operates on a credit-based system with both free and paid subscription options:

  • Free Tier: Includes limited credits for trial purposes
  • Subscription Plans: Monthly or annual plans with allocated credits
  • Pay-as-you-go: Purchase additional credits as needed

All payments are non-refundable unless required by law or as explicitly stated in our refund policy. Subscription credits reset monthly and do not roll over. Purchased credits never expire.

7. User Content

You retain ownership of any content you input into the Service ("Input"). You are solely responsible for your Input and warrant that you have all necessary rights to use and share it.

By using the Service, you grant us a limited license to process your Input solely for the purpose of providing the Service to you.

8. AI-Generated Content

Content generated by our AI models ("Output") is provided to you subject to these Terms:

  • Free tier users receive Output with watermarks and limited commercial rights
  • Paid subscribers receive full commercial license for their Output
  • We do not claim ownership of AI-generated Output
  • Due to the nature of AI, similar Output may be generated for different users
  • We cannot guarantee that Output will be unique or free from similarities to existing works

9. Prohibited Uses

You agree not to use the Service to:

  • Generate content that violates any applicable laws or regulations
  • Create harmful, fraudulent, deceptive, or misleading content
  • Generate explicit sexual content involving minors or non-consenting individuals
  • Create content that promotes violence, terrorism, or illegal activities
  • Infringe on intellectual property rights of others
  • Impersonate individuals without their consent
  • Attempt to bypass any usage limits or security measures
  • Reverse engineer or extract the underlying models or algorithms
  • Use the Service in a way that could damage, disable, or impair our servers or networks

10. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and other content provided by us (excluding User Content and AI-Generated Content), is owned by NeoSpark AI and protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent, except as expressly permitted in these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES OR BIASES, AND WE DO NOT GUARANTEE THE QUALITY, ACCURACY, OR APPROPRIATENESS OF ANY OUTPUT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEOSPARK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NeoSpark AI operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
